1. Acceptance of Terms

By accessing or using the CTOer website (ctoer.com) and services provided by CTOer Systems LTD ("CTOer," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

2. Description of Services

CTOer operates a marketplace that connects companies seeking technical leadership with qualified Chief Technology Officers (CTOs). Our services include:

  • Matching companies with fractional CTOs for part-time engagements
  • Matching companies with CTOs for full-time positions
  • Vetting and screening CTO candidates
  • Facilitating introductions and interviews
  • Providing resources and guidance for both companies and CTOs

3. Eligibility

You must be at least 18 years old and capable of entering into legally binding contracts to use our services. By using CTOer, you represent and warrant that you meet these requirements.

4. Account Registration

To access certain features of our services, you may need to create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your information as needed
  • Keep your password confidential
  • Notify us immediately of any unauthorized access to your account
  • Be responsible for all activities under your account

5. For Companies

5.1 Service Fees

Companies using CTOer's matching services agree to pay the applicable fees as communicated during the engagement process. Fees may include:

  • Success fees for fractional CTO placements (percentage of monthly engagement)
  • Placement fees for full-time CTO hires (percentage of first-year compensation)

Specific fee structures will be outlined in a separate service agreement.

5.2 Guarantee

For full-time placements, CTOer offers a 90-day guarantee. If a placed CTO leaves or is terminated within 90 days of start date, CTOer will conduct a replacement search at no additional fee, subject to the terms of your service agreement.

5.3 Non-Circumvention

Companies agree not to engage directly with CTOs introduced by CTOer without going through the CTOer process. This obligation continues for 12 months after the initial introduction.

6. For CTOs

6.1 Application and Vetting

CTOs applying to join the CTOer network agree to undergo our vetting process, which may include interviews, technical assessments, and reference checks. Acceptance into the network is at CTOer's sole discretion.

6.2 Accuracy of Information

CTOs represent that all information provided, including work history, skills, and references, is accurate and complete. Providing false information is grounds for removal from the network.

6.3 Professional Conduct

CTOs agree to conduct themselves professionally in all interactions with companies and CTOer, and to honor commitments made during the matching process.

6.4 No Fees for CTOs

CTOer does not charge fees to CTOs for joining the network or being matched with companies.

7. Intellectual Property

The CTOer website, including all content, features, and functionality, is owned by CTOer Systems LTD and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

8. User Content

By submitting content to CTOer (including resumes, profiles, and communications), you grant CTOer a non-exclusive, royalty-free license to use, reproduce, and display such content for the purpose of providing our services. You retain ownership of your content.

9. Prohibited Conduct

You agree not to:

  • Use the services for any unlawful purpose
  • Misrepresent your identity or qualifications
  • Interfere with or disrupt the services
  • Attempt to gain unauthorized access to our systems
  • Collect or harvest user information without consent
  • Use automated systems to access the services without permission
  • Circumvent CTOer to directly engage with introduced parties

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. CTOER DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

CTOer acts as a matchmaker and does not guarantee the performance, quality, or suitability of any CTO or company introduced through our platform. All hiring and engagement decisions are made independently by the parties involved.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CTOER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, ARISING FROM YOUR USE OF THE SERVICES.

CTOER'S TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU TO CTOER IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless CTOer and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the services or violation of these Terms.

13. Termination

CTOer may suspend or terminate your access to the services at any time, with or without cause, with or without notice. Upon termination, your right to use the services will immediately cease.

14. Dispute Resolution

Any disputes arising from these Terms or your use of the services shall be resolved through binding arbitration in Denver, Colorado, in accordance with the rules of the American Arbitration Association. You waive any right to a jury trial or class action.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of law provisions.

16. Changes to Terms

CTOer reserves the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website. Your continued use of the services after such changes constitutes acceptance of the new Terms.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

18. Entire Agreement

These Terms, together with any service agreements entered into with CTOer, constitute the entire agreement between you and CTOer regarding the use of our services.
